Terms of Service

These Terms of Service (“Terms”) govern your access to and use of fase, an online fitness platform operated by KV Health, a company registered in Canada (“we,” “us,” or “our”). By accessing or using fase (the “Services”), you agree to be bound by these Terms.

If you do not agree, do not use the Services.

1. About fase

fase is an online fitness platform providing access to pre-recorded workout content, programs, and related digital materials for educational and fitness purposes only.

2. Eligibility

You must be at least 18 years old to create an account and use the Services. By using the Services, you represent and warrant that you meet this requirement.

3. Account Registration

To access the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscriptions, Payments & Billing

Certain parts of the Services may require payment or a subscription.

  • Prices, billing frequency, and subscription details are disclosed at checkout.

  • Payments are processed through third-party payment providers.

  • Subscriptions automatically renew unless canceled prior to the renewal date.

  • Fees are non-refundable except where required by law.

You are responsible for all applicable taxes based on your location.

5. Use of the Services

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use only.

You may not:

  • Copy, reproduce, distribute, or resell any content

  • Share login credentials

  • Attempt to bypass platform security

  • Use the Services for unlawful purposes

6. Intellectual Property

All content on fase — including videos, workouts, programs, text, graphics, logos, and software — is owned by or licensed to KV Health and is protected by copyright, trademark, and other intellectual property laws.

No rights are granted except as expressly stated in these Terms.

7. Health & Fitness Disclaimer

The Services provide general fitness information only and do not constitute medical advice.

You acknowledge that:

  • Physical activity carries inherent risks

  • You are responsible for determining whether participation is appropriate for you

  • You should consult a physician before beginning any fitness program

8. No Guarantees

We do not guarantee specific results from use of the Services. Individual results vary based on numerous factors outside our control.

9. Third-Party Services

The Services may integrate with or link to third-party platforms (e.g., payment processors, analytics tools). We are not responsible for the content, policies, or practices of third parties.

10. Termination

We may suspend or terminate your access to the Services at any time, without notice, if you violate these Terms or misuse the platform.

You may cancel your account at any time through your account settings.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

KV Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

Our total liability shall not exceed the amount paid by you to KV Health in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless KV Health and its affiliates from any claims, losses, liabilities, or expenses arising from your use of the Services or violation of these Terms.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

You agree that any disputes shall be resolved exclusively in the courts located in Ontario, Canada, unless otherwise required by applicable consumer protection laws in your jurisdiction.

14. International Users

fase is operated from Canada but is accessible worldwide. You are responsible for complying with local laws applicable to your use of the Services.

15. Changes to These Terms

We may update these Terms from time to time. Any changes will be effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.
